How are CEO stock options taxed?
Stock options
With fixed value plans, executives receive options of a predetermined value every year over the life of the plan. A company's board may, for example, stipulate that the CEO will receive a $1 million grant annually for the next three years.
Cash bonuses and the ordinary income portion of equity income will be included in W-2 federal wage income and subject to tax withholding. For restricted shares, shares are withheld at vest to cover taxes. For nonqualified options, shares are withheld at exercise.
Statutory stock options
You have taxable income or deductible loss when you sell the stock you bought by exercising the option. You generally treat this amount as a capital gain or loss. However, if you don't meet special holding period requirements, you'll have to treat income from the sale as ordinary income.
Regardless, if the acquisition terms provide that options will be deemed net exercised at closing and paid based on the net number of shares owned, that will cause any ISOs to be treated as NSOs and the proceeds paid will be compensation income subject to all income tax and employment tax withholding.
The rise in stock options was offset by reduced weightings of stock awards for both CEOs and NEOs. In 2020, stock awards comprised 44.3 percent of CEO pay, down from 49.0 percent in the prior year, and represented 37.4 percent of NEO pay, down from 42.1 percent in the prior year.
A venture-backed CEO can't really take any dividends or profits. Salary + bonus might be in $200k-$350k range. A bootstrapped CEO can pretty much do what they want. At $40m, they'd typically take $1m-$2m a year in profits, salary and dividends.
Company Performance: CEO compensation is often tied to company performance. If a CEO is successful in leading the company to achieve financial growth, increased shareholder value, or improved market position, they may be rewarded with higher compensation as an incentive and recognition of their impact. 4.
Bonuses that are linked to company performance will encourage CEOs to work harder and make better decisions for stockholders. Stock options can cause CEOs to focus on short-term performance or to manipulate numbers to meet targets.
Income recognition is normally deferred until the stock is no longer subject to that risk (that is, it's vested) or you sell it. When the restriction lapses, you pay taxes on the stock's fair market value (FMV) at your ordinary-income rate.
What is the 60 40 tax rule?
Take advantage of preferred tax rates on futures trades, based on the 60/40 rule. That means 60% of net gains on futures trading is treated like long-term capital gains. The other 40% is treated as short-term capital gains and taxed like ordinary income.
The ISO $100K limit, also known as the “ISO limit” or “$100K rule,” exists to prevent employees from taking too much advantage of the tax benefits associated with ISOs. It states that employees can't receive more than $100,000 worth of exercisable ISOs in a given calendar year.
In general: With incentive options, you are not taxed when the options vest or when you exercise the option. When you sell the stock you bought with the option, you pay capital gains taxes. With nonstatutory options, you also are not taxed when the options vest.
There are two typical outcomes if you have employee stock options and an M&A occurs, the acquiring company can cash you out or give you company shares. If the acquiring company cashes you out, your outcome is simple: you receive cash and pay taxes on the gains.
That being said, federal courts in California have held that stock options are not wages because “[t]hey are not money at all . . . [but] are contractual rights to buy shares.” But even if a particular form of equity compensation qualifies as “wages,” there are additional possible problems.
Can I Cash Out My Employee Stock Purchase Plan? Yes. The payroll deductions you have set aside for an ESPP are yours if you have not yet used them to purchase stock. You will need to notify your plan administrator and fill out any paperwork required to make a withdrawal.
Compensation for CEOs is no more variable than compensation for hourly and salaried employees. On average, CEOs receive about 50% of their base pay in the form of bonuses. Yet these “bonuses” don't generate big fluctuations in CEO compensation.

The tax documents reveal that Rhode Island Hospital parent corporation Lifespan paid nearly $3.2 million to its then-president and CEO, Dr. Timothy Babineau, in 2021. That was a pay cut compared with Babineau's compensation package in 2020, which totaled $3.9 million thanks in part to a $768,000 bonus.
Salaries Levels by Venture Funding Raised
Companies that have raised lower amounts of funding, on average, have lower CEO compensation. In 2022, chief executives at early-stage companies that have raised over $10 million in financing were paid just under two hundred thousand dollars a year, $199,000.
